1. Acceptance of Terms
By accessing or using QualityHerd ("Service"), operated by Quality Plus Systems Inc ("Company," "we," "us," or "you"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and the Company.
2. Description of Service
QualityHerd is a cloud-based livestock management platform that enables farmers and agricultural professionals to manage herd records, track breeding cycles, monitor animal health and weight gain, manage veterinary sharing, and maintain financial records. The Service is delivered as a Software-as-a-Service (SaaS) subscription via web browsers and Progressive Web App (PWA) interfaces.
3. Account Registration and Responsibilities
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service.
4. Subscription and Billing
QualityHerd offers tiered subscription plans, including a free tier and paid tiers ("Farmer" and "Pro"). Paid subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select at signup. All fees are non-refexcept as expressly set forth in these Terms or our Refund Policy. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize the Company to charge your payment method (processed via Stripe) for all applicable fees.
5. Free Tier and Trial Limitations
The free tier allows management of up to 10 herd members with basic features. Free tier accounts are subject to feature limitations as described on our pricing page. We reserve the right to modify free tier limitations at any time with reasonable notice.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service in any manner that violates any applicable law or regulation; (b) attempt to gain unauthorized access to any portion of the Service or its related systems; (c) interfere with or disrupt the Service or servers; (d) use the Service to transmit any malware, viruses, or harmful code; (e) resell, sublicense, or distribute the Service without our prior written consent; (f) use the Service to store or process data that is unlawful, defamatory, or infringes on third-party rights; (g) reverse engineer, decompile, or disassemble any part of the Service.
7. Data Ownership and License
You retain full ownership of all data you upload, input, or generate through the Service ("Your Data"). You grant the Company a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing and improving the Service. We will never sell, share, or monetize Your Data with third parties for their independent purposes. You may export Your Data at any time through the Service's built-in export features.
8. Intellectual Property
The Service, including all software, designs, logos, trademarks, and documentation, is the exclusive property of the Company and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited use rights expressly granted herein.
9. Third-Party Services
The Service integrates with third-party providers, including but not limited to Stripe (payment processing), Supabase (database and authentication), and email delivery services. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. The Service is not a substitute for professional veterinary advice, and we disclaim any liability for livestock health decisions made based on data in the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) Your Data.
13. Termination
You may terminate your account at any time by canceling your subscription through the Service settings or by contacting support. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for a period of thirty (30) days following termination, after which it may be deleted. Sections 7, 10, 11, 12, and 14 shall survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. You consent to the personal jurisdiction of such courts.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
